(the "Company") announces that Jeffrey Paolone has resigned as a director and member of the audit committee of the Company, effective immediately following the conclusion of the annual general and special meeting of shareholders of the Company held on July 29, 2026. The Company thanks Mr. Paolone for his service and contributions to the Company.

The Company is pleased to announce that Joseph Tung has been appointed to the board of directors to fill the vacancy created by Mr. Paolone's resignation. Mr. Tung has also been appointed as a member of the audit committee of the Company.

Mr. Tung is a securities and corporate lawyer with experience advising public and private companies on securities law, corporate governance and transactional matters.
